ARTIST FUNDING ACCESS PROGRAM AGREEMENT

AMENDMENT TO LGMUSICPUB’S TERMS & CONDITIONS

 

Between:
Lgmusicpub Publishing Agency Int'l LLC
(Lgmusicpub)
(“Administrator”)

and


The Artist / Applicant (“Participant”)

Effective Date:  July 1, 2025

1. Purpose

This Agreement outlines the terms under which Lgmusicpub (“Administrator”) facilitates project-based artist funding through Affirm, Inc. (“Funding Partner”) to support professional music-related initiatives, including but not limited to marketing, touring, recording, and creative development. By applying for and/or receiving and/or being approved for funding, Participant hereby agrees to the terms and conditions outlined within this agreement. Participant hereby acknowledges and agrees that they will also adhere to the Affirm terms of conditions located here at https://www.affirm.com

2. Program Overview

Through this program, qualifying Participants may receive funding of up to $30,000 USD from Affirm, Inc. for use toward approved creative or professional projects.
All funds are distributed net of Affirm processing fees and subject to Lgmusicpub’s administrative commission as described herein.

3. Affirm Processing Fees

Affirm, Inc. applies standard processing fees of the approved funding amount.
These fees are deducted automatically by Affirm prior to the release of funds to Lgmusicpub for project administration.

4. Commission Structure

Lgmusicpub retains an administrative commission to manage project oversight, vendor coordination, disbursements, and compliance:

(a) Standard Projects: 15% of the net funding amount after Affirm fees

(b) Expanded Projects (e.g., touring, multi-phase campaigns, studio development): up to 25%, based on project complexity and management requirements

All remaining funds are allocated toward verified project execution on behalf of the Participant.

5. Disbursement of Funds

Funds are disbursed only to verified vendors, service providers, approved recipients or approved Participant's associated with the Participant’s project plan.

6. Participant Obligations

The Participant agrees to:

(a) Provide accurate project details, budgets, and documentation as requested.

(b) Use all funds solely for verified professional or creative purposes.

(c) Maintain clear communication with Lgmusicpub.

(d) Comply with all applicable Affirm, Lgmusicpub, and financial regulations.

7. Rights and Oversight

Lgmusicpub reserves the right to approve, deny, or adjust project scopes based on available funding or project viability.
Lgmusicpub also reserves the right to withhold or redirect disbursements in cases of misuse, misrepresentation, or breach of this Agreement.

8. Non-Refundable Administrative Commission

The administrative commission retained by Lgmusicpub is non-refundable and compensates for oversight, management, and delivery of services.

9. Confidentiality

All project and funding details are treated as confidential and may not be disclosed by either party except as required by law or for compliance reporting.

10. Limitation of Liability

Lgmusicpub shall not be liable for indirect, incidental, or consequential losses arising from delays, vendor issues, or third-party performance related to funded projects.
Participant acknowledges that Affirm, Inc. is an independent third-party financing partner and Lgmusicpub is not responsible for Affirm’s credit decisions, processing timelines, or fee adjustments.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia

12. Entire Agreement

This document constitutes the entire understanding between Lgmusicpub and the Participant regarding artist funding and supersedes all prior communications, proposals, or representations.

13. Acceptance

By applying for or participating in the Artist Funding Access Program, the Participant acknowledges that they have read, understood, and agreed to these terms.

14. Intellectual Property Rights

All intellectual property created, produced, or developed as part of a funded project remains the property of the Participant unless otherwise governed by a separate publishing or licensing agreement with Lgmusicpub.
Lgmusicpub retains no ownership interest in creative works unless a distinct contractual relationship specifies otherwise.

15. Reporting & Verification

Participants may be required to provide periodic reports, invoices, receipts, or deliverables confirming appropriate fund usage.
Failure to provide sufficient documentation may result in suspension of future funding eligibility or administrative penalties.

16. Termination

Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to cure such breach within 10 business days of notification. For any previously distributed funds by Administrator to Participant, this agreement shall remain in effect and supersede any termination clauses and or provisions.
Upon termination, Lgmusicpub may suspend all pending disbursements and seek restitution for misused or misallocated funds. 

17. Dispute Resolution

In the event of a dispute, both parties agree to first seek resolution through good faith negotiation.
If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Atlanta, Georgia.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
